Members Present: Brett Rondeau, Cole Rabska-virtually, Scott Kluver-virtually, Marty
Milanowski-virtually, Rick Geisen, Jenna Galligan, and John Carlson-virtually
Others Present: Mark Abeles-Allison-Bayfield County Administrator, Paige Terry-Clerk III,
Dennis Pocernich-County Board Chairman, Fred Strand-County Board Vice-Chairman
Meeting called to order at 3:00 PM by Chairman Rondeau
Introductions of Agency Members: Members of the agency introduced themselves.
Election of Officers:
Motion by Rabska to nominate Rondeau for Chairman. Rondeau called for other nominations
three times. Motion by Carlson, seconded by Milanowski to close nominations and cast
unanimous ballot for Rondeau as Chairman. Motion carried.
Motion by Rondeau to nominate Milanowski for Vice-Chairman. Rondeau called for other
nominations three times. Motion by Rondeau, seconded by Milanowski to close nominations and
cast unanimous ballot for Milanowski as Vice-Chairman. Motion carried.
Motion by Milanowski to nominate Rabska for Secretary. Rondeau called for other nominations
three times. Motion by Rondeau, seconded by Galligan to close nominations and cast unanimous
ballot for Rabska as Secretary. Motion carried.
Motion by Carlson to nominate Galligan for Treasurer. Rondeau called for other nominations
three times. Motion by Rondeau, seconded by Milanowski to close nominations and cast
unanimous ballot for Galligan as Treasurer. Motion carried.
Minutes of the July 23, 2020 meeting: Motion by Milanowski, seconded by Galligan to approve
the minutes of the July 23, 2020 meeting. Motion carried.
Discussion and Possible Action Regarding Articles of Incorporation and Bylaws: Abeles-
Allison briefly reviewed the Agency’s purpose as well as the definitions of what constituted an
“industrial development project.” Abeles-Allison informed the Agency that the payment terms
for World Class Manufacturing were updated in 2020. A brief review of the bylaws also took
place. It was noted that the current bylaws state that the County Board Chairman must be a
member of the agency, but currently is not. Rondeau suggested adding the topic to the next
County Board meeting so the board may replace one of the current Agency members with the
County Board Chair.
Review IDA Statute 59.57 and Chapter 181 of Wisconsin Statutes: Abeles-Allison gave a
brief review of the Wisconsin Statute 59.57.
World Class Manufacturing Update: Galligan informed the Agency that World Class
Manufacturing’s financials were updated in 2020 and the County has been receiving regular
monthly payments from World Class for $976.75. Abeles-Allison explained that the modified
financial plan put World Class on a 60-month payment plan with 40 months of payments left. At
the end of the payment plan, a balloon payment would need to be made that would leave World
Class the owners of their facility. Pocernich questioned if World Class owned both the land and
the building or only the building. Carlson replied that the town owned the land, but World Class
would own the building. Abeles-Allison stated that he would research the situation and return
with more information at a later date.
Discussion Regarding Future IDA Initiatives: The Agency discussed possible initiatives and
goals the Agency may pursue in the future. Topics discussed were utilizing the Agency as a tool
to leverage supplemental funds for existing and new businesses in the County, leverage funds to
assist with industrial development throughout the community and applying for funds to install an
incubator at the Bayfield County Business Park. No decisions were made.

Rondeau suggested adding the Election of Officers to the May Industrial Development Agency
meeting agenda.
