IMPORTANT:
The owner of this holding tank(s) shall be responsible for its perpetual operation and maintenance pursuant to
requirements of SPS 382-384, Wisc. Admin. Code. Pursuant to SPS 383.52 (2), Wisc. Admin. Code, this holding tank(s)
shall be considered a human health hazard if not maintained in accordance with this approved management plan.
Furthermore, all inspection and maintenance activities shall be performed by a registered POWTS Maintainer in
accordance with SPS 383.52 (3), Wisc. Admin. Code.

Any defective part of this system shall be repaired, replaced, or removed pursuant to SPS 383.51 (1), Wisc. Admin.
Code. Repair or replacement of failed or malfunctioning components shall comply with SPS 383, Wisc. Admin. Code.

Private Hangar Lease (New Construction) Planning and Zoning Agency
This Agreement, made and entered into on the date indicated below by and between the Cable
Union Airport Commission, a municipal corporation, hereinafter called the Lessor, and
Hangar with Wings, LLC dba: FlyWise Properties

hereinafter called the Lessee. The Lessor owns and operates an airport known as the Cable
Union Airport, located at 42905 Telemark Road, Cable, WI 54821, and Lessee is desirous of
leasing from the Lessor a certain parcel of land on the airport, hereinafter more fully described,
for the purpose of aircraft storage. The Lessee will use the below described property for the
purpose of storing aircraft and related equipment. The Lessee shall conduct only such aircraft
maintenance on its own aircraft as performed by the Lessee or by regular employees of the
Lessee. For and in consideration of the rental charges, covenants, and agreements herein
contained, the Lessee does hereby lease from the Lessor the following premises, rights, and
easements on and to the airport upon the following terms and conditions.
1. Property Description: Site #_8 & 9
2. Hangar Construction.
The Lessee shall have the right to erect, maintain and alter buildings or structures upon the
premises providing such buildings or structures conform to the building code requirements
of the Wisconsin Department of Industry, Labor & Human Relations, and pertinent
provisions of any local ordinance in effect. All plans for such buildings or structures shall be
reviewed and approved in writing by the Lessor prior to construction. The Lessee also
agrees that construction of such structures must begin within one year of the signing of this
Agreement and failure to begin such construction voids this Agreement at the Lessor's
option.
3. Term.
The term of this Agreement is 25 years.
It shall commence on November 25 , 2024
and run until midnight Novermber 25 , 2049_.
At the end of this Agreement the Lessee shall have the option to renew this Agreement
upon substantially similar terms and reasonable rates.

4. Rent.

The Lessee agrees to pay to the Lessor for the use of the premises, rights, and
easements herein described, a yearly rental of $432per lot leased payable on t6 .1 sayrtO in

this Agreement is signed and thereafter on January 1" of each year. Payment shall be
made to the Cable Union Airport Commission, P.O. Box 248, Cable, WI 54821. It is
understood and agreed that the rental rate specified shall be subject to periodic
reexamination and readjustment by the Lessor.
5. Utility Installation.
There is a one-time utility infrastructure fee of $ 10,000.00 (estimated $4,500-5,500)
per hangar paid to the airport. Upfront payment of $5,000 is required at least agreement
signing. The balance to be settled after the airport receives final billing. This fee covers
the cost of the primary electrical distribution lines, transformers, and meter pedestal
installation. This fee does not cover the cost of meters or service line connections between
the meter pedestal and the hangar which is the responsibility of the hangar owners.
6. Non -Exclusive Use.
The Lessee shall have the right to the non-exclusive use, in common with others, of the
airport parking areas, appurtenances and improvements; the right to install, operate,
maintain and store, subject to the approval of the Lessor in the interests of safety and
convenience of all concerned, all equipment necessary for the safe hangaring of the
Lessee's aircraft; the right of ingress to and egress from the premises, which shall also
extend to Lessee's employees, guests and patrons; the right, in common with others
authorized to do so, to use common areas of the airport, including runways, taxiways,
aprons, roadways, and other conveniences for the take -off, flying and landing of aircraft.
7. Laws and Regulations.
The Lessee agrees to observe and obey during the term of this Agreement all laws,
ordinances, rules and regulations promulgated and enforced by the Lessor, and by other
proper authority having jurisdiction over the conduct of operations at the airport.
8. Hold Harmless.
The Lessee agrees to hold the Lessor free and harmless from loss from each and every
claim and demand of whatever nature made upon the behalf of or by any person or persons
for any wrongful act or omission on the part of the Lessee, their agents or employees, and
from all loss or damages by reason of such acts or omissions.
9. Insurance.
The Lessee agrees that they will maintain, and provide proof upon request of the
Lessor, a policy of comprehensive liability insurance. The policy shall be issued by a
company licensed to do business in Wisconsin and shall insure the Lessee against loss
from liability to the amount of $500,000 for the injury or death of one person in any one
accident; and in the amount of $1,000,000 for the injury or death of more than one person
in any one accident; and in the amount of $1,000,000 for damage to property of others for

any one accident. The cancellation or other termination of any insurance policy issue44 2 12026
compliance with this section shall automatically terminate the Agreement, unless anothwayjb co.
policy has been filed and approved pursuant to this section and shall be in effect &t�t14�4ft? OningAgency
of such cancellation or termination. It is understood and agreed that the minimum amounts
of insurance specified shall be subject to reexamination and readjustment periodically
provided that any readjustment of present rates shall be reasonable.
10. Maintenance of Buildings.
The Lessee will maintain the structures occupied by them and the surrounding land
premises in good order and make such repairs as are necessary. In the event of fire or any
other casualty to structures owned by the Lessee, the Lessee shall either repair or replace
the building or remove the damaged building and restore the leased area to its original
condition; such action must be accomplished within 120 days of the date the damage
occurred. Upon petition by the Lessee, the Lessor may grant an extension of time if it
appears such extension is warranted.
11. Right to Inspect,
The Lessor reserves the right to enter upon the premises at any reasonable time for the
purpose of making any inspection it may deem expedient to the proper enforcement of any
of the covenants or conditions of this Agreement.
12.Taxes.
The Lessee shall pay all taxes or assessments that may be levied against the personal
property of the Lessee or the buildings which they may erect on lands leased
exclusively to them. Taxes that are assessed to the airport attributed to the hangars
and the Lessee. The Lessor will determine the amount owed by Lessee and the
Lessee shall pay the Cable Union Airport Commission, PO Box 248, Cable, WI 54821
by January 15th each year.
The Lessee shall record a Building, Fixtures and Improvements Document with the
Bayfield County Register of Deeds pursuant to Wis. Stat. §70.17(3). This shall be
completed immediately following substantial completion of hangar construction.
13. Signs.
The Lessee agrees that no signs or advertising matter may be erected without the
consent of the Lessor.
14. Default.
The Lessee shall be deemed in default upon:
a. Failure to pay rent within 30 days after due date.
b. The filing of a petition under the Federal Bankruptcy Actor any amendment thereto
including a petition for reorganization or an arrangement.

c. The commencement of a proceeding for dissolution or for the appointment of a JAN 2 7 2026
receiver.
d. The making of an assignment for the benefit of creditors. eayfield co.

e. Violation of any restrictions in this Agreement, or failure to keep any of its covenants
after written notice to cease such violation and failure to correct such violation within
thirty days.
f. Failure to remove personal property from the leased premises after termination of the
Agreement. Lessor will not store any items of personal property left behind by the
Lessee after the Lessee removes from the property.
g. * A finding made by the Lessor that the Lessee's use of the leased space does not
conform to purposes of this Agreement as stated herein.
Default by the Lessee shall authorize the Lessor, at its option and without legal
proceedings, to declare this Agreement void, cancel the same, and re-enter and take
possession of the premises. The Lessor has a lien on personal property stored in a
leased space that the Lessor may satisfy by selling the Lessee's personal
property if the Lessee defaults.
15. Title.
Title to the building erected by the Lessee shall remain with the Lessee and shall be
transferable. Upon termination of this Agreement, the Lessee may, at the option of the
Lessor, remove the buildings, equipment, and property, and restore the leased property to
its original condition.
16. Snow Removal.
The Lessee is responsible for snow removal on the Lessee's property and from the
Lessee's property to the taxiway.
17. Lease Transfer.
The Lessee may not, at any time during the time of this Agreement, assign or transfer this
Agreement or any interest contained, without the consent of the Lessor.
18. Airport Development.
The Lessor reserves the right to further develop or improve the landing area of the airport
as it sees fit, regardless of the desires or view of the Lessee, and without interference or
hindrance. If the development of the airport requires the relocation of the Lessee, the
Lessor agrees to provide a compatible Iodation and agrees to relocate all buildings or
provide similar facilities for the Lessee at no cost to the Lessee.
19. Subordination Clause.
This Agreement shall be subordinate to the provisions of any existing or future agreement
between the Lessor and the United States or the State of Wisconsin relative to the operation
or maintenance of the airport, the execution of which has been or may be required as a
condition precedent to the expenditure of federal or state funds for the development of the

airport. Furthermore, this Agreement may be amended to include provisions required b0ayeeid co.
those agreements with the United States or the State of Wisconsin. Planning and Zoning Agency
20. Arbitration.
Any controversy or claim arising out of or relating to this Agreement or any allege breach
thereof, which cannot be settled between the parties, shall be settled by arbitration in
accordance with the rules of the American Arbitration Association, and judgment upon the
dispute rendered by the arbitrator(s) shall be final and binding on the parties.
21. Choice of Laws & Entire Agreement.
This Agreement shall be governed by the laws of the State of Wisconsin not inconsistent
with the laws of the United States. This Agreement constitutes the entire agreement made
between the Lessor and Lessee and may only be amended in writing.

As an Inducement to Bayfield County to issue a sanitary permit for a holding tank on the above described property, � 5AIRWA
following:
1. Owner agrees to conform to all appijcable requirements of Ch. SPS .383. Wis. Adm. Code relating to holding tank installation and
maintenance. If the owner fails to have the holding tank properly serviced in response to orders issued by Bayfieldd County or the
Department of Commerce tp prevent or abate a human health hazard as described in s. 254.59, Slats:, Bayfield County may enter upon
the property and service the tank or cause to have the tank to be serviced and charge the owner by placing the charges on the tax bill as a
special assessment for curteft services rendered. The charges will be assessed as prescribed bye. 66.0703, Stats.
2. Owner agrees to pay all charges and costs Incurred by Bayfield County for inspection, pumping, hauling, or otherwise servicing and
rntairitalning the holding tank In, such a manner as to prevent or abate any human health hazard caused by the holding tank. Bayfleid
County shall notify the owner of any costs which shell be paid by the owner within thirty (3Q) days flout the date of notice. In the event the
owner does not pay the costs within thirty ($0) days, the owner specifically agrees that all the costs and charges may be placed on the*tex
• roll as a special assessment for the abatement of a human health hazard, and the tax shall be collected as provided by law.
3. The owner agrees to contract with a person who is licensed pursuant to a:281.17 (3) Wis. Stats., end chapter NR 114 Wis. Adm. Code, to
have the holding tank serviced ;in atcordafce with Ch. NR113, Wls. Adm. Code, and to file a copy of tta contract with Bayfield County.
The owner further agrees to file a copy of any changes to the service contract, era copy of a new service contract, with the county within
30 days from the date of change to the service contract.
4. The owner agrees to contract with a person licensed pursuant to s. 281A8 (3) Wis. Stats., and Ch. NR 114, WI's Adm. Code who shall
submit to the county within 30 days a report detailing the servicing of the holding tank. Bayfield County may enter upon the property to
investigate the condition of the holding tank when pumping reports and meter readings may indicate that the holddhm c I is not being

5. This agreement will remain In effect only until Bayfreld County certifies that the property is served by AM rivate
onsite wastewater treatment system that complies with Ch. SPS 383, Wi's Adm. Code. In addition, this . �ri cetd by

certification to be determined by reference to the property.

1. Owner agrees to conform to all applicable requirements of Ch. SPS 383, Wis. Adm. Code relating to f?dRflRSflftMk9Rnd
maintenance. If the owner fails to have the holding tank properly serviced in response to orders issued by Bayfield County or the
Department of Commerce to prevent or abate a human health hazard as described in s. 254.59, Stats., Bayfield County may enter upon
the property and service the tank or cause to have the tank to be serviced and charge the owner by placing the charges on the tax bill as a
special assessment for current services rendered. The charges will be assessed as prescribed by s. 66.0703, Stats.
2. Owner agrees to pay all charges and costs incurred by Bayfield County for inspection, pumping, hauling, or otherwise servicing and
maintaining the holding tank in such a manner as to prevent or abate any human health hazard caused by the holding tank. Bayfield
County shall notify the owner of any costs which shall be paid by the owner within thirty (30) days from the date of notice. In the event the
owner does not pay the costs within thirty (30) days, the owner specifically agrees that all the costs and charges may be placed on the tax
roll as a special assessment for the abatement of a human health hazard, and the tax shall be collected as provided by law.
3. The owner agrees to contract with a person who is licensed pursuant to s.281.17 (3) Wis. Slats., and chapter NR 114 Wis. Adm. Code, to
have the holding tank serviced in accordance with Ch. NR1 13, Wis. Adm. Code, and to file a copy of the contract with Bayfield County.
The owner further agrees to file a copy of any changes to the service contract, or a copy of a new service contract, with the county within
30 days from the date of change to the service contract
4, The owner agrees to contract with a person licensed pursuant to s. 281.48 (3) Wis. Stats., and Ch. NR 114, WI's Adm. Code who shall
submit to the county within 30 days a report detailing the servicing of the holding tank. Bayfield County may enter upon the property to
investigate the condition of the holding tank when pumping reports and meter readings may indicate that the holding tank is not being
properly maintained.
5. This agreement will remain in effect only until Bayfield County certifies that the property is served by either a municipal sewer or a private
onsite wastewater treatment system that complies with Ch. SPS 383, WI's Adm. Code. In addition, this agreement may be cancelled by
executing and recording said certification with reference to this agreement in such manner which will permit the existence of the
certification to be determined by reference to the property.
6. This agreement shall be binding upon the owner, the heirs of the owner, and assignees of the owner. The owner shall submit this
agreement to the register of deeds, and the agreement shall be recorded by the register of deeds in a manner which will permit the
existence of the agreement to be determined by reference to the property where the holding tank is installed.

1. The owner agrees to file a copy of this contract with Bayfield County as required in SPS 383.55, Wis. Adm. Code.
2. The owner agrees to have the holding tank(s) serviced by the pumper and guarantees to permit the pumper to have
access and to enter upon the property for the purpose of servicing the holding tank(s). The owner agrees to maintain
the access road or drive so that the pumper can service the holding tank(s) with the pumping equipment. The owner
further agrees to pay the pumper for all charges incurred in servicing the holding tank(s) as mutually agreed upon by
the owner and pumper.
3. The pumper agrees to submit to the local government unit which has signed the pumping agreement required by SPS
383.55, Wis. Adm. Code, and the County, a report for the servicing of the holding tank(s) on a semiannual basis. The
pumper further agrees to include the following in the semiannual report:
a. The name and address of the person responsible for servicing the holding tank;
b. The name of the owner of the holding tank; ft.,
c. The location of the property on which the holding tank is installed; i NOTARY
d. The sanitary permit number issued for the holding tank; i g �c
e. The dates on which the holding tank was serviced; � *
f. The volumes in gallons of the contents pumped from the holding tank for each servicing;
g. The disposal sites to which the contents from the holding tank were delivered.
4. This agreement will remain in effect until the owner or pumper terminates this contract. In the event of'a Mange in this
contract, the owner agrees to file a copy of any changes to this service contract or a copy of a new service contract
with the local government unit and the County named above within (10) business days from the date of change to this
service contract.

b. The approval of the sanitary permit is based on regulations in force on
the date of approval.
c. The sanitary permit is valid and may be renewed for specified period.
d. Changed regulations will not impair the validity of a sanitary permit.
e. Renewal of the sanitary permit will be based on regulations in force at
the time renewal is sought, and that changed regulations may impede
renewal.
